4. Cloud, Server, Platform, and Connected Services

Some Services may use cloud infrastructure, servers, databases, hosting providers, APIs, third-party integrations, commerce platforms, app platforms, marketplaces, or other connected systems to provide functionality.

For these Services, information may be transmitted to, stored by, or processed through Merchard systems or third-party service providers.

We may use this information to operate the Service, authenticate access, process data, generate outputs, maintain subscriptions, provide support, improve reliability, secure the Service, comply with legal obligations, or enforce our Terms.

Service Providers

We may share information with vendors and service providers who help us operate the Services, such as hosting providers, infrastructure providers, payment processors, analytics providers, crash reporting providers, support tools, email providers, database providers, security providers, and other operational vendors.

Platforms and Marketplaces

If you access a Service through a third-party app store, marketplace, commerce platform, operating system, browser, payment provider, or distribution platform, certain information may be shared with or processed by that platform according to its own terms and privacy policy.

User-Directed Sharing

We may share information when you choose to export, submit, email, upload, save, print, connect, publish, or share information through the Services.

Legal, Safety, and Compliance

We may disclose information if we believe it is reasonably necessary to comply with law, legal process, platform requirements, tax obligations, billing obligations, security obligations, government requests, or to protect the rights, property, safety, or security of Merchard, users, third parties, or the public.

Business Transfers

If Merchard is involved in a merger, acquisition, financing, reorganization, sale of assets, bankruptcy, or similar transaction, information may be transferred as part of that transaction, subject to applicable law.

Aggregate or De-Identified Information

We may use or share information that has been aggregated or de-identified so that it does not reasonably identify you.

9. Third-Party Services

The Services may link to, integrate with, rely on, or allow you to interact with third-party websites, platforms, tools, APIs, marketplaces, app stores, payment providers, hosting providers, file storage services, email services, analytics providers, business platforms, or other services.

Third-party services are governed by their own terms and privacy policies. Merchard is not responsible for the privacy, security, accuracy, availability, or practices of third-party services.

10. Analytics, Crash Reporting, Logs, and Diagnostics

Some Services may use analytics, crash reporting, logging, diagnostic, or performance tools to understand usage, fix bugs, maintain security, and improve reliability.

The specific tools used may vary by Service and may change over time.

Where required by law or platform rules, we will disclose applicable analytics, tracking, diagnostic, or data collection practices in the relevant app store listing, marketplace listing, product documentation, in-app notice, consent screen, or privacy disclosure.

11. Cookies and Similar Technologies

Web-based Services may use cookies, local storage, pixels, session storage, device identifiers, or similar technologies to operate the Service, remember preferences, authenticate users, analyze usage, improve performance, prevent fraud, or support marketing.

You can manage cookies through your browser settings. Blocking cookies may affect functionality.

12. Data Retention

We retain information for as long as reasonably necessary to provide the Services, fulfill the purposes described in this Privacy Policy, comply with legal obligations, resolve disputes, enforce agreements, maintain security, support business operations, and comply with tax, accounting, billing, platform, or regulatory requirements.

Retention periods vary depending on the Service, type of information, storage method, platform requirements, legal obligations, and user choices.

For local-first Services, data may remain on your device until you delete it, delete the app, clear storage, erase your device, or modify system settings.

For cloud-based, server-based, or platform-connected Services, information may remain in active systems, backups, logs, archives, or third-party platforms for a reasonable period after deletion, cancellation, uninstall, or account closure, unless a different retention period is required or permitted by law.

We use reasonable administrative, technical, and organizational measures designed to protect information handled by the Services.

No software, device, network, server, database, platform, storage system, API, or transmission method is completely secure.

You are responsible for securing your devices, accounts, passwords, platform accounts, stores, credentials, backups, exported files, and third-party services you choose to use.

15. Children’s Privacy

The Services are not intended for children under 13, and we do not knowingly collect personal information from children under 13.

If you believe a child has provided personal information to us, contact us and we will take appropriate steps to delete it.

Data protection laws in these locations may differ from those in your jurisdiction.

You should independently verify all information before relying on it.

6. Storage, Backups, and Data Loss

Some Services may store data locally on your device. Other Services may store or process data using servers, hosting providers, third-party platforms, databases, cloud infrastructure, marketplace systems, or service providers.

For locally stored data, you are responsible for backing up your device and preserving any records you need. Deleting an app, uninstalling software, clearing browser data, changing devices, disabling backups, reinstalling software, operating system changes, or device failure may result in data loss.

For cloud-based, platform-based, or server-based Services, data availability may depend on third-party providers, account status, subscription status, connectivity, platform availability, service configuration, or retention rules.

Merchard is not responsible for lost, corrupted, inaccessible, deleted, or unrecoverable data except where prohibited by law.

7. Accounts and Security

Some Services may require an account, login, installation, platform authorization, API connection, license key, subscription, or other access method.

8. Purchases, Subscriptions, Billing, and Refunds

Some Services may be free, paid, subscription-based, usage-based, license-based, trial-based, or offered with optional premium features.

Purchases, subscriptions, renewals, cancellations, refunds, taxes, billing intervals, platform fees, and payment processing may be handled by Merchard or by a third-party app store, marketplace, commerce platform, payment processor, software platform, distributor, or other provider.

When you purchase or subscribe through a third-party platform, your purchase may also be governed by that platform’s terms, policies, billing rules, refund rules, cancellation process, and account settings.

Unless otherwise stated, subscriptions may renew automatically until canceled through the applicable platform, account setting, billing portal, or cancellation method.

Merchard does not control third-party billing systems and is not responsible for platform-managed refunds, payment failures, renewal notices, taxes, chargebacks, account restrictions, or cancellation procedures.

• Use the Services in a way that creates legal, security, operational, reputational, or financial risk for Merchard or others

11. Intellectual Property

The Services, including software, designs, interfaces, branding, trademarks, text, graphics, workflows, templates, documentation, and other materials, are owned by Merchard or its licensors and are protected by intellectual property laws.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Services except as expressly permitted by law or by written permission from Merchard.

You retain ownership of information you enter into the Services, subject to the rights necessary for Merchard to operate, provide, support, secure, and improve the Services.

12. User Content and Outputs

You are responsible for any content, records, reports, files, or other materials you create, upload, import, process, export, or share through the Services.

14. Disclaimers

The Services are provided “as is” and “as available.”

To the fullest extent permitted by law, Merchard disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, compatibility, and suitability for any professional, legal, tax, accounting, financial, engineering, compliance, regulatory, medical, environmental, business, reporting, filing, permitting, or operational purpose.

Merchard does not warrant that the Services will be uninterrupted, secure, error-free, accurate, complete, current, compatible with every device or platform, compliant with any law or regulation, or suitable for your specific needs.

15. Limitation of Liability

To the fullest extent permitted by law, Merchard, LLC and its owners, officers, members, managers, employees, contractors, affiliates, vendors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, enhanced, or punitive damages, or for any loss of profits, revenue, business, data, records, goodwill, opportunities, tax benefits, compliance status, permits, approvals, filings, reports, professional outcomes, or business outcomes arising out of or related to your use of or inability to use the Services.

This limitation applies whether the claim is based on warranty, contract, tort, negligence, strict liability, statute, or any other legal theory, even if Merchard has been advised of the possibility of such damages.

To the fullest extent permitted by law, Merchard’s total liability for any claim arising out of or related to the Services will not exceed the greater of:

• The amount you paid directly to Merchard for the specific Service giving rise to the claim during the twelve months before the claim arose; or
• One hundred dollars ($100).

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

17. Termination

You may stop using the Services at any time. You may also uninstall software, cancel subscriptions, close accounts, disconnect integrations, or terminate platform access through the applicable Service or third-party platform.

Merchard may suspend, restrict, or terminate access to any Service if we believe you have violated these Terms, created risk, failed to pay required fees, misused the Services, violated platform rules, or used the Services unlawfully.

Provisions relating to user responsibility, disclaimers, limitation of liability, indemnification, intellectual property, and governing law survive termination.

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles, except where applicable law requires otherwise.

Before filing a claim, you agree to contact Merchard at hello@merchard.com and attempt to resolve the dispute informally.

Any dispute arising out of or related to these Terms or the Services will be handled in the state or federal courts located in Texas, unless applicable law requires a different forum.
